1. Definitions and Scope of Application

1.1 Service Provider

These Terms of Service ("Terms", "Agreement") govern the contractual relationship between you ("Customer", "User", "you") and ecomcoder, operated by Amboras Inc., a Delaware C Corporation ("ecomcoder", "we", "us", "our"), with offices at 1111B S Governors Ave, STE 84587, Dover, DE 19904, United States.

1.2 Service Description

ecomcoder is a Software-as-a-Service (SaaS) platform that enables Shopify store owners to manage, organize, and edit their product catalogs. The service integrates with Shopify through official APIs and provides product management capabilities.

1.3 Acceptance of Terms

By registering for an account, accessing, or using ecomcoder, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and all applicable laws and regulations. If you do not agree to these Terms, you may not use our service.

1.4 Eligibility

You must be at least 18 years old to use ecomcoder. By using our service, you represent and warrant that you have the legal capacity to enter into this agreement. If you are using ecomcoder on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms.

2. Account Registration and Security

2.1 Account Creation

To use ecomcoder, you must create an account by providing accurate, current, and complete information including a valid email address and password.

2.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us at contact@ecomcoder.com of any unauthorized use of your account or security breach. ecomcoder will not be liable for losses arising from your failure to protect your account credentials.

2.3 Shopify Integration Requirements

To use ecomcoder's core features, you must connect your Shopify store by providing:

  • Your Shopify store URL
  • Shopify Client ID and Client Secret for API access

You are responsible for the accuracy and security of these credentials. We encrypt and store these credentials securely in accordance with our Privacy Policy.

3. License Grant and Restrictions

3.1 Limited License

Subject to your compliance with these Terms, ecomcoder grants you a limited, non-exclusive, non-transferable, revocable license to access and use the service for your internal business purposes.

3.2 Usage Restrictions

You agree not to:

  • Resell, sublicense, lease, or rent the service to third parties
  • Reverse engineer, decompile, or disassemble any part of the service
  • Use the service to develop competing products or services
  • Use the service for any illegal purpose or in violation of applicable laws
  • Attempt to gain unauthorized access to our systems, networks, or other users' accounts
  • Interfere with or disrupt the integrity or performance of the service
  • Use automated systems (bots, scrapers) to access the service without our prior written consent
  • Upload or distribute viruses, malware, or any harmful code

4. Data Protection and Privacy

4.1 Data Processing

We process your personal data and store data in accordance with our Privacy Policy and applicable data protection laws.

4.2 Third-Party Data Processors

We use the following third-party services as data processors:

  • Shopify - Store data access and product management
  • Supabase - Database hosting, authentication, and data storage

4.3 Data Security Measures

We implement appropriate technical and organizational security measures to protect your data, including encryption of sensitive credentials and API tokens at rest and in transit, secure HTTPS/TLS communication, access controls, and regular security assessments.

4.4 Data Retention and Deletion

We retain your account data for the duration of your subscription plus 90 days after cancellation. You may request deletion of your data at any time by contacting us at contact@ecomcoder.com.

5. Limitation of Liability and Warranties

5.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

5.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHOPIFY DASHBOARD AND ITS OPERATORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES.

5.3 Liability Cap

In no event shall ecomcoder's total aggregate liability to you exceed the amount paid by you in the twelve (12) months preceding the event giving rise to liability, or $100 (one hundred US Dollars), whichever is greater.

6. Termination

6.1 Cancellation by You

You may cancel your account at any time through your account settings or by contacting contact@ecomcoder.com.

6.2 Termination by Us

We may suspend or terminate your access to the service immediately if:

  • You breach these Terms
  • Your account has been inactive for more than 12 consecutive months
  • We are required to do so by law or court order
  • Your use of the service poses a security risk or harms other users

6.3 Effect of Termination

Upon termination:

  • Your right to access the service will immediately cease
  • We will retain your data for 90 days to allow for potential account reactivation
  • After 90 days, your data may be permanently deleted
  • You may request a data export before deletion by contacting us

7. Dispute Resolution and Governing Law

7.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States.

7.2 Informal Dispute Resolution

In the event of any dispute, the parties agree to first attempt to resolve the dispute through good faith negotiation within 30 days.

7.3 Jurisdiction

Any judicial proceedings shall be brought exclusively in the federal or state courts located in Delaware, United States.

8. General Provisions

8.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and ecomcoder regarding the service.

8.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue to be valid and enforceable.

8.3 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, natural disasters, war, pandemics, or failures of third-party service providers (including Shopify).

BY CLICKING "I ACCEPT", "I AGREE", REGISTERING FOR AN ACCOUNT, OR USING THE SHOPIFY DASHBOARD SERVICE IN ANY WAY, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS IN THEIR ENTIRETY. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT ACCESS OR USE THE SERVICE.
